課程安排
本次培訓(xùn)的目標(biāo):在前幾期合同結(jié)構(gòu)設(shè)計、起草及談判培訓(xùn)班的基礎(chǔ)上,以并購合同為示例,通過合同結(jié)構(gòu)設(shè)計原理剖析、合同條款詳解以及實(shí)戰(zhàn)演練,從中觀及微觀層面進(jìn)一步傳授國際律師處理復(fù)雜的商事項目時所應(yīng)具備的核心技能。學(xué)員通過本次培訓(xùn),除掌握并購合同的結(jié)構(gòu)和條款細(xì)節(jié)外,還應(yīng)體驗(yàn)復(fù)雜的商事合同起草及談判的動態(tài)模式,力爭做到知其然、知其所以然,以進(jìn)一步鞏固在此前培訓(xùn)項目中所掌握的律師執(zhí)業(yè)核心技能。此外,本次培訓(xùn)還將邀請資深專業(yè)人士及相關(guān)政府官員對即將實(shí)施的

Course Objectives: Building on prior training sessions on contract structuring, drafting and negotiation skills, and using M&A contract as illustration, the lecturers intend to further explore the core legal skills required for handling complex commercial transactions at both intermediate and micro levels.
